Articles of Incorporation Of Dubuque Area Landlords Association

To the Secretary of the State of Iowa: Pursuant to the Provisions of the Iowa Non-Profit Corporation Act, the undersigned corporation adopts the following Articles of Incorporation:

Article I

The name of the corporation is the Dubuque Area Landlords Association, Inc.

Article II

The period of its duration is perpetual.

Article III

Said corporation is organized for the following purposes:

A. The purpose of this organization shall be:

  1. To advance the general welfare of the rental property industry.
  2. To participate for the purpose of mutual benefit in an interchange of information and experience with fellow members and with other Landlord groups.
  3. To encourage within the rental property industry a high appreciation of the objectives and responsibilities of owners and operators in providing adequate privately owned housing.
  4. To promote the enactment and enforcement of local, state, and federal laws beneficial to rental property owners and to free enterprise.
  5. To disseminate useful information to all members and inspire them to further educate themselves in the practical features of their rental operations.
  6. To advocate a Code of Ethics to maintain high professional standards and sound business methods among its members for the best interest of the industry and the public.
  7. To educate both Landlords/Managers and Tenants as to their rights and responsibilities under the Iowa Tenant/Landlord Act.
  8. To promote both federal and state Fair Housing Laws.

B. Philosophy:

All members agree to follow federal, state, and local fair housing Laws in selecting tenants based on personal history, or protected Characteristics, which presently are in 2012, race, color, creed, sex, religion, national origin, and disability/handicap.

Article IV

The address of its initial registered office in the Sate of Iowa is 10366 Timothy St., Dubuque, Iowa, 52003, and the name of its initial, registered agent at such address is Jerry Maro.

Article V

The number of directors constituting he initial board of the corporation may be from 1 to 12 and the names and addresses of the persons who are to serve as the initial directors are:

Article VI

The date on which the corporate existence shall begin is upon filing of the Articles of Incorporation with the Secretary of State, State of Iowa.

Article III

C. Limitations of Liability:

A director, officer, or other volunteer is not personally liable in that capacity for a claim based upon an act of omission of the person performed in the discharge of the person’s duties except for a breach of the duty of loyalty to the Corporation, for acts or omissions not in good faith or which involve intentional misconduct or knowing violation of the law, or for transaction from which the person derives an improper personal benefit.

A director, officer, member, or volunteer of the Corporation, as a condition of accepting said office, shall be indemnified by the Corporation against expenses actually and necessarily incurred by that person in connection with the defense of any action, suit or proceeding in which the person is made a party by reason of having been or being a director, officer, member or volunteer of the Corporation, except in relations to matters as to which the person shall be adjudged in such action, suit or proceeding to be liable for the breach of the duty of loyalty to the Corporation, or for acts or omissions not in good faith, or which involve intentional misconduct or knowing violation of the law.

Such right of indemnification is not deemed exclusive of any additional right to which the person may be entitled under the laws of the State of Iowa, the bylaws, agreements, or otherwise.

Article IX

The Corporation reserves the right to amend, alter, change or repeal any provision contained in the Articles of Incorporation in the manner now or hereafter prescribed by statute.
